We also handle all types of tax transactional issues for domestic and foreign business entities of all kinds, including both publicly traded and privately held corporations; both small and large partnerships and limited liability companies; specialized entities such as real estate investment trusts (REITs) and regulated investment companies; and various entities formed under foreign law.

General Tax Planning

Venable's tax attorneys work closely with our clients to satisfy their general tax planning and tax compliance needs. Our tax attorneys offer tax planning for all forms of domestic and foreign business entities. As for our clients, they include Fortune 500 corporations as well as closely held companies and start-up ventures, and we advise them on all types of tax matters pertaining to business organization and operations, international tax, state and local tax, capital expansion, financing, and tax accounting.

Working closely with our commercial litigation and corporate defense/white collar attorneys, we also provide support for malpractice actions and corporate internal investigations. Further, working alongside our tax-exempt organization and public finance attorneys, we provide guidance on the arbitrage and other rules of federal income tax law applicable to tax-exempt financings for our governmental and tax-exempt organization clients.

Real Estate Taxation

Venable's real estate tax professionals serve owners and developers, institutional investors, and major commercial lenders in structuring real estate development projects, capital formation, financing, as well as foreclosure and workout transactions. We have significant experience in structuring sophisticated real estate ownership arrangements, and often can offer clients creative solutions to their tax and business problems. We also represent clients in state and local tax matters concerning recordation and transfer taxes, as well as real property tax exemptions.

State and Local Transactions

Venable's tax attorneys have extensive experience in addressing a broad range of state and local tax (SALT) planning and controversy matters, including income, franchise, sales and use, transfer and recordation, and property taxes. We counsel clients in all aspects of determining and minimizing their SALT burdens in regard to pending transactions. Our team welcomes the opportunity to be involved in the early stages of review of business transactions, including mergers, acquisitions, and business reorganizations, so as to minimize SALT burdens with minimal impact on the transaction structure. We assist individuals and entities in evaluating, terminating, or establishing domiciles in various jurisdictions to minimize their SALT exposure.
